proc is set of predefined sequential programs used very frequently..instram proc is coded within the program and catlouged proc is coded outside and executed separately. Source: CoolInterview.com

PROC:

PROC is nothing but a Procedure where a set of statements coded to execute it repeatedly as many times as you can.

Instream PROC:
The set of statements coded within the JCL and it should end with PEND like mentioned below,

Catalogued PROC:
The set of statements coded and placed in a separate member of a PDS, then this member of PDS will be invoked through a JCLLIB ORDER=XXX.XXXX.XXXX as noted below,

Grouping the JCL statements together and giving them a name is called Procedure or PROC. The use of procedures helps minimize duplication of code and probability of error.

1). In-stream procedure is defining the procedure and executing the same within the same job(JCL) where as Cataloged procedure is defining the procedure in a cataloged data set and then calling it from several jobs.
2). The PEND statement can not be coded in cataloged procedures. It must be coded in in-stream procedures.
3). Cataloged procedures are members of partitioned data sets and remain there until they are deleted where as In-stream procedures are not members of partitioned data sets, and exist only for the duration of the job. Source: CoolInterview.com
